Welcome to Certificate Creator! These Terms of Service (“Terms”) govern your access to and use of the website, applications, templates, and services provided by Aspen Tree Media (“ATM,” “we,” “us,” or “our”), including CertificateCreator.com (collectively, the “Service”).

BY CREATING AN ACCOUNT, CLICKING “I AGREE” (OR A SIMILAR CHECKBOX/BUTTON), OR ACCESSING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU ARE AGREEING TO THESE TERMS ON BEHALF OF A SCHOOL, ATHLETIC LEAGUE, COMPANY, OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND THAT ENTITY.

1. Acceptance & Electronic Contracting

1.1 Electronic Agreement. You consent to contract with us electronically. Agreement is given when you register an account, check an agreement box, or complete a purchase. We record an audit log of your acceptance, including your account ID, timestamp, IP address, browser details, and the version of the Terms accepted.

1.2 E-SIGN Compliance. This electronic contract has the same legal force and effect as a physical signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Uniform Electronic Transactions Act (UETA).

2. Eligibility & Account Responsibilities

2.1 Age Requirement. You must be at least sixteen (16) years of age to create an account or use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2.2 Account Security. You are responsible for safeguarding your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access.

2.3 Single-User Access. Account licenses are per-individual. The Service permits one active concurrent session per account; logging into a new session will terminate any prior active session. Organizations requiring multi-user or team access must purchase a dedicated Organization/Team plan.

3. Service Description & Subscription Plans

3.1 The Service. Certificate Creator is a web-based design engine that enables users to create, customize, save, print, and export certificates, awards, seals, and related documents using our template catalog, badge builders, and your uploaded assets.

3.2 Plan Tiers. The Service is offered under the following subscription tiers (subject to current pricing published on our Pricing Page):

  • Free Sandbox ($0): Allows access to the editor, design customization, and draft storage. Downloads and exports carry a mandatory, server-applied CertificateCreator.com watermark.
  • Pro Monthly ($2.99/month): Recurring monthly subscription providing clean, unwatermarked high-resolution PDF exports, badge/seal builder access, custom logo/signature uploads, AI prompt tools, and mail-merge features.
  • Pro Annual ($19.99/year): Recurring annual subscription providing all Pro features at a discounted annual rate.
  • Organization / Team (Custom): Specialized plans supporting multi-seat access and organization-wide template sharing.

4. Billing, Payment & Taxes

4.1 Payment Processor. All payment transactions are processed securely through our third-party payment processor, Stripe, Inc. By purchasing a plan, you authorize us and Stripe to charge your designated payment method for all recurring subscription fees and applicable taxes.

4.2 Billing Cycle. Subscription fees are billed in advance on the date of purchase and automatically renew at the beginning of each billing period (monthly or annual) unless canceled.

4.3 Taxes. Stated prices exclude sales, use, value-added, or other governmental taxes. Applicable taxes will be calculated and collected at checkout based on your billing address.

4.4 Failed Payments. If a recurring payment fails, Stripe will automatically retry the charge according to its retry schedule. If payment is not successfully settled within seven (7) days, we reserve the right to suspend paid features or downgrade your account to the Free Sandbox tier.

5. AUTOMATIC RENEWAL DISCLOSURE & CANCELLATION

IMPORTANT NOTICE: YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD UNLESS YOU CANCEL PRIOR TO THE RENEWAL DATE.

5.1 Continuous Subscription Terms. By enrolling in a Pro Monthly or Pro Annual subscription, you acknowledge and agree that your subscription has an initial and recurring payment feature, and you accept responsibility for all recurring charges prior to cancellation.

5.2 How to Cancel. You may cancel your subscription at any time by logging into your account, navigating to Members → Manage Billing/Invoices (Stripe Customer Portal), and clicking “Cancel Subscription.” Cancellation takes effect at the end of your current pre-paid billing period. You will retain full access to paid features until the period expires. No cancellation fees apply.

5.3 Annual Renewal Reminders. For annual subscriptions, we will send an email reminder to your registered email address at least fifteen (15) and no more than forty-five (45) days prior to your annual renewal date. The reminder will specify the renewal fee, the renewal date, and simple instructions on how to cancel.

5.4 Price Changes. We may adjust subscription prices prospectively. We will provide at least thirty (30) days’ advance email notice of any price adjustment. The new price will take effect at your next subscription renewal following the notice period. If you do not agree to the price change, you must cancel your subscription before it renews.

6. Refund Policy & First-Purchase Guarantee

6.1 General Non-Refundability. Except as expressly provided herein or required by applicable law, all subscription payments are non-refundable and non-creditable. Partial billing periods are not refunded upon cancellation.

6.2 14-Day First-Purchase Money-Back Guarantee. If you are a first-time paid subscriber to Certificate Creator and are unsatisfied with the Service for any reason, you may request a 100% refund of your initial subscription payment within fourteen (14) calendar days of your initial purchase date. To request a refund, contact support at support@certificatecreator.com. This guarantee applies only once per customer/organization and does not apply to subsequent subscription renewals.

6.3 Statutory Rights. Nothing in this section limits any non-waivable statutory consumer rights available under applicable state or international laws.

7. Legacy Memberships & Transition

Members holding legacy “print pool” or one-time memberships purchased under prior terms (pre-August 15, 2026) will maintain their existing print allowances and terms until the expiration of their current membership period. Upon expiration, continuing to export or print certificates will require selecting a current Pro subscription plan under these Terms. Legacy print pools are non-transferable and non-refundable.

8. Intellectual Property & Licenses

8.1 ATM Content License. All templates, borders, clip art, seals, fonts, code, graphics, and proprietary designs made available through the Service (“ATM Content”) are owned by ATM or its licensors. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use ATM Content solely within the Service to create finished certificate and award documents.

8.2 Output License & Commercial Rights. You own the finished output documents (PDFs, images, prints) you create containing ATM Content. You may print, download, distribute, and display these finished outputs for personal, educational, athletic, non-profit, or commercial purposes.

8.3 Restrictions. You strictly agree NOT to:

  • Extract, scrape, bulk-download, or redistribute ATM Content as standalone assets (e.g., reselling our seals, borders, or clip art files).
  • Resell, sublicense, or distribute Certificate Creator templates as editable digital templates on third-party marketplaces (e.g., Etsy, Teachers Pay Teachers).
  • Remove, alter, or obscure any proprietary notices, copyright marks, or watermarks applied by the Service.
  • Bypass, disable, or tamper with the watermark engine on Free Sandbox exports.

9. Your Content & Privacy

9.1 Ownership of Your Content. You retain full ownership of all text, logos, signatures, trademarks, and photos that you upload to the Service (“Your Content”).

9.2 License to ATM. You grant ATM a worldwide, non-exclusive, royalty-free license to host, store, render, process, and back up Your Content solely to provide, maintain, and secure the Service for you.

9.3 Content Warranties. You represent and warrant that you own or have obtained all necessary licenses, permissions, and consents to upload Your Content and to include individuals’ names, signatures, and organizational logos on certificates created through the Service.

9.4 Data Retention & Asset Purging. For active subscribers, Your Content is stored indefinitely. Following subscription cancellation or expiration, Your Content (uploaded logos, signatures, saved templates) will be preserved in a dormant state for a 60-day grace period. If your account is not reactivated within 60 days post-cancellation, we reserve the right to permanently purge Your Content from our S3 storage and databases.

10. Acceptable Use & Prohibited Conduct

You agree that you will NOT use the Service to:

  • Generate fraudulent, forged, or unlawful official documents (including falsified government identification, medical records, or unauthorized academic degrees).
  • Impersonate any person or organization or misrepresent your authority to issue an award.
  • Upload content that is libelous, obscene, harmful to minors, or infringes any third-party intellectual property or privacy right.
  • Attempt to gain unauthorized access to the Service, server infrastructure, or other user accounts.
  • Automate usage via bots, scrapers, or unauthorized scripts.

11. Termination & Account Cancellation

11.1 Termination by You. You may terminate your account at any time via Account Settings or by contacting support.

11.2 Termination by Us. We reserve the right to suspend or terminate your account immediately if you breach these Terms (including Sections 8, 9, or 10), commit payment fraud, or initiate an improper chargeback.

11.3 Survival. Sections 6, 8.3, 9.1, 11.3, 13, 14, 15, and 16 shall survive any termination of these Terms.

12. Disclaimer of Warranties

THE SERVICE AND ALL ATM CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, ATM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CERTIFICATES CREATED WILL MEET SPECIFIC LEGAL OR ACCREDITATION REQUIREMENTS.

13. Limitation of Liability

13.1 Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ASPEN TREE MEDIA, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL).

13.2 Aggregate Limit. ATM’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO ATM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED US DOLLARS ($100.00).

14. Indemnification

You agree to defend, indemnify, and hold harmless Aspen Tree Media and its affiliates from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) Your Content; (b) your breach of these Terms; or (c) your issuance or distribution of any certificate created using the Service.

15. Binding Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

15.1 Informal Dispute Resolution. Before filing a claim, you and ATM agree to try to resolve any dispute informally by contacting legal@aspentreemedia.com. If the dispute is not resolved within thirty (30) days, either party may bring a formal proceeding.

15.2 Binding Individual Arbitration. You and ATM agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.

15.3 CLASS ACTION WAIVER. YOU AND ATM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

15.4 Opt-Out Right. You have the right to opt out of the arbitration and class action waiver provisions of this Section by sending written notice of your decision to opt out to legal@aspentreemedia.com within thirty (30) days of first accepting these Terms.

15.5 Exceptions. Either party may bring an individual action in a small claims court of competent jurisdiction.

16. Governing Law & Venue

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. To the extent court proceedings are permitted under Section 15, you and ATM consent to the exclusive jurisdiction and venue of the state and federal courts located in Travis County, Texas.

17. General Terms

17.1 Entire Agreement. These Terms constitute the entire agreement between you and ATM regarding the Service and supersede all prior agreements (including the 2004 Terms of Use).

17.2 Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

17.3 No Waiver. ATM’s failure to enforce any right or provision shall not constitute a waiver of future enforcement.
